THE HONG KONG GENERAL CHAMBER OF COMMERCE

ANNUAL GENERAL MEETING

AGENDA ITEM 1:  TO CONSIDER AND IF THOUGHT FIT PASS THE PROPOSED RESOLUTIONS AS ORDINARY RESOLUTIONS

PROPOSAL TO AMEND ARTICLES OF ASSOCIATION

"It was NOTED THAT notwithstanding that the internal “Guidelines for General Committee Membership” (Guidelines) were not intended to be hard and fast rules, the General Committee members had thus far taken no issue in following the Guidelines in the nomination and election of the General Committee members, particularly as regards relevant conditions to be met for a person to be eligible as a candidate for election to the General Committee, including that which generally disallows a retiring General Committee member (not being the Chairman, Deputy Chairman or a Vice Chairman) to stand for election to the General Committee for more than 16 years (“16-year threshold”); but of late, certain retiring General Committee members had decided to disregard such conditions, and the General Committee had recommended that relevant amendments be made to the Chamber’s Articles of Association to incorporate, inter alia, the relevant conditions.

It was RESOLVED THAT the following resolutions be approved and passed as Ordinary Resolutions of the Chamber:

THAT the Chamber’s Articles of Association be amended to incorporate, inter alia, relevant conditions to be met for a person to be eligible as a candidate for election to the General Committee, as well as relevant provisions for the deemed retirement of a General Committee member (not being the Chairman, Deputy Chairman or a Vice Chairman for the time being) when he has reached or exceeded the 16-year threshold in office (not counting the period serving as an ex officio) on the General Committee, unless otherwise decided by the General Committee.

THAT the Secretary be and is hereby authorised to deal with the necessary formalities to finalise a draft of the Articles incorporating relevant amendments for consideration and approval by the Members.”
