General Committee Election at the Annual General Meeting

13 May 2009

Dear Member, We have received enquiries from members on how votes will be counted in the coming GC election. The purpose of this note is to provide clarification on the arrangements that will be followed. 1. The Scrutineer (at PricewaterhouseCoopers Ltd, 21/F, Edinburgh Tower, Central) shall act and make decisions according to the Chamber Memorandum and Articles of Association and Bye-Laws (MAABL). 2. Each member company eligible to vote at Chamber general meetings has the right to send its Authorised Representative (AR) to attend the Chamber AGM in person on 19 May and vote to elect up to six GC members under agenda item 1 of the AGM. 3. If the AR is not attending the AGM, the member company may either cast its vote by post or appoint a proxy to vote, but not both. All postal votes and forms of appointment of proxy must be received by the Scrutineer no later than 5:30 pm on 18 May 2009. All late postal votes and forms of proxy will not be considered by the Scrutineer. 4. If a member chooses to vote by post, the original postal ballot paper sent by the Chamber to member must be used. A postal vote using papers other than the original one provided by the Chamber will be invalidated. As each member company has one and only one vote, multiple postal votes by the same member company will lead to an invalidation of the members’ vote. By the same token, once a postal vote is cast, that member company will not be able to appoint a proxy and will not be provided a ballot paper even if its AR attends the AGM in person. 5. If a member chooses not to vote by post, then it may choose to appoint a proxy to vote at the AGM. Again as each member has one and only one vote, multiple proxies received by the Scrutineer on or before the deadline will be clarified by the Scrutineer with the member company if circumstances permit. Otherwise, the form of proxy carrying the latest time chop at the Scrutineer's office will be determined as the valid one, and all previous form of proxies sent by the same member company will be invalidated. 6. All the valid postal and proxy votes cast plus all the valid votes cast at the AGM will be counted by the Scrutineer at the AGM and the result will be announced at the AGM. 7. The Scrutineer has the sole discretion and power to decide on the validity of postal ballot papers and proxy forms received, as well as the validity of the vote cast in person by ARs or proxies. If there are disputes at or before the AGM on election procedures, the Scrutineer is the sole person to make decision on the disputes presented. Once a decision is made by the Scrutineer, it will be final and is not subject to further review. Regards, Alex Fong CEO
